Commitments and Guarantees

You acknowledge and guarantee that you will:

• Comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.

• Adhere to all local laws and regulations, including those related to the operation of services, and you are solely responsible for any violations of these local laws and regulations.

• Maintain and comply with all necessary permits, licenses, and other government authorizations required to provide the service and continue your operations and activities.

• Provide accurate and up-to-date information to Aqool Hasiba Academy and update it periodically.

• Review and comply with any notifications sent by Aqool Hasiba Academy regarding your use of the services provided by the Aqool Hasiba Academy platform.

• Not sublicense, publish, distribute, transmit, perform, display, sell, or reclassify the Aqool Hasiba Academy services in any manner, unless expressly allowed under this agreement.

• Use the service or platform for lawful purposes only and refrain from sending or storing any illegal materials or engaging in fraudulent activity.

• Not use the service or platform to cause harm, annoyance, or distress to others.

• Not interfere with the proper functioning of the Aqool Hasiba Academy platform.

• Not copy or distribute the platform or other content without written permission from Aqool Hasiba Academy.

• Keep any identification methods provided to you, which grant access to your account, secure and confidential.

• Provide us with all the evidence required to prove your identity at Aqool Hasiba Academy’s discretion.

• Aqool Hasiba Academy reserves the right to refuse to provide services or access to the platform without any reason.

You acknowledge that you refrain from actions including:

• Engaging in discussions or using unacceptable language containing or inciting violence, verbal or non-verbal abuse, religious or racial intolerance, discrimination, or encouraging illegal activities or criminal practices (e.g., drugs, weapons, explosives, viruses, hacking).

• Sharing personal phone numbers, email addresses, or social media accounts, or agreeing to meet outside the platform between the service provider and the client. Aqool Hasiba Academy will not be held responsible for any harassment or danger resulting from sharing personal information.

• Using a username or personal picture on your platform account that violates public decency or impersonates public figures or celebrities.

• Attempting to harm or cause damage to the Aqool Hasiba Academy platform or its services, or defaming its staff or users in any way, including posting inappropriate content on social media.

• Encouraging or inciting practices or behaviors that involve any of the actions mentioned above.

Aqool Hasiba Academy, at its discretion, will determine whether any breach or non-compliance with the commitments and guarantees has occurred when using its services. If so, appropriate actions will be taken.

License Scope

Aqool Hasiba Academy grants you a non-exclusive, non-transferable, non-sub-licensable, and non-revocable license to access and use our services only for the personal purpose specified in this agreement. Therefore, you must:

• Not provide, rent, lease, sublicense, distribute, or resell the services to any third party.

• Not modify, shorten, translate, summarize, create a derivative work based on reverse engineering the design of Aqool Hasiba Academy, or attempt to identify or access the source code or internal design of the services or any text, multimedia (images, audio, video files), or data provided by Aqool Hasiba Academy or third-party service providers.

• Not delete, alter, or modify any copyright or other official notices in the services.

• Not claim to grant access to the services or allow access to anyone other than yourself.

• Not share your username, password, or any other access credentials to the Aqool Hasiba Academy platform.

Intellectual Property Rights

All intellectual property rights related to these services and any materials associated with them (including any content you provide or post) are owned by Aqool Hasiba Academy. You must not reproduce or allow anyone else to use or reproduce the services, trademarks, or any other trade names appearing in the services for any reason.

Commercial Transactions Policy

By using the website or app, you understand and agree to the commercial transaction policy for both students and teachers.

General Terms:

• The prices applied by teachers for providing services on the platform can be found. Aqool Hasiba Academy may modify or update them from time to time. It is your responsibility to stay informed of the current prices of the services provided. You are solely responsible for paying all fees on time, and you acknowledge that any payment made is non-refundable.

• By agreeing to these terms, you accept that your access to data stored on the Aqool Hasiba Academy platform depends on your account being active, and failure to pay amounts owed will result in restricted access to the platform and stored data.

• Aqool Hasiba Academy reserves the right to create, cancel, or revise the fees and prices of its services offered through the platform. All fees are due immediately. Additionally, you acknowledge and accept that prices may increase or decrease, and Aqool Hasiba Academy will make reasonable efforts to notify you of any price changes, although you are responsible for any differences in your account, regardless of whether you were aware of them.

• Aqool Hasiba Academy may occasionally offer promotional offers or discounts to some clients using the platform, which may result in varying amounts being paid for the same services or goods or for similar services and goods during platform use. The service provider agrees to apply these offers and discounts.

• The teacher agrees and acknowledges that providing services through the platform to students will involve fees charged to the students. Aqool Hasiba Academy will receive a specific percentage of these fees for using the platform and providing services to students using the platform. All fees deducted for Aqool Hasiba Academy are final and non-refundable unless the platform specifies otherwise.

• It is advised to keep and retain a copy of the receipt of service payment for documentation and record-keeping, which may assist in resolving any disputes that may arise regarding financial matters.

• The selection of teachers and trainers is the responsibility of the student. Aqool Hasiba Academy strives to select the best teachers to provide services.

• Both parties’ privacy should be maintained, and no confidential information should be disclosed.

• If the student wants to request additional material or increase the number of hours with the same teacher, the teacher is required to complete the request through the platform. If Aqool Hasiba Academy becomes aware of non-cooperation, it has the right to suspend the teacher.

Teacher:

• Act with integrity and honesty in providing services.

• Not assist the student in cheating or completing assignments and projects.

• Aqool Hasiba Academy has the right to stop the teacher from continuing with the student if the teacher fails to adhere to the agreed-upon time.

Student:

• The agreed price with the teacher is per hour.

• The teacher has the right to refuse to continue teaching if the student does not comply with the agreed time.

• Aqool Hasiba Academy has the right to stop the student from continuing with the teacher if the student fails to pay part or all of the owed amount, as deemed appropriate.

Trainer:

• Act with integrity and honesty in providing services.

• Aqool Hasiba Academy has the right to stop the trainer from continuing with the trainee if the trainer fails to adhere to the agreed-upon time.

Trainee:

• The agreed price with the trainer is for a single session, based on the specified days.

• The trainer has the right to refuse to continue training if the trainee does not comply with the agreed time.

• Aqool Hasiba Academy has the right to stop the trainee from continuing with the trainer if the trainee fails to pay part or all of the owed amount, as deemed appropriate.

Compensation:

By agreeing to these Terms of Use and using the platform or service, you agree to defend Asila Academy and its affiliates, licensors, and all of its officers, directors, and other users, employees, lawyers, and agents, and to indemnify them from any claims, costs, damages, losses, liabilities, and expenses (including legal fees) arising from or related to the following:

• Your violation or breach of any term of these Terms of Use or any applicable laws or regulations, whether mentioned in these Terms of Use or not.

• Your infringement of any third-party rights, including service providers regulated by the platform.

• Your use or misuse of the platform or service.

The information, recommendations, services, or any of them provided to you on or through the service and platform are for general informational purposes only and do not constitute any form of advice.

Asila Academy will make reasonable efforts to maintain the accuracy and update of the website and platform and its content, but it does not guarantee that the website or platform's content is free from errors, defects, harmful software, or viruses, nor does it guarantee the accuracy, completeness, or timeliness of the website and application. We cannot guarantee that your use of the website will be free from technical errors or content mistakes.

In case of a complaint, dispute, or disagreement between the service provider and the customer or in other applicable cases where there is a reasonable cause for disclosure, Asila Academy may provide relevant data (including personal data) to the customer, service provider, and related authorities, or any of them, as permitted by applicable laws and regulations.

Asila Academy is not responsible, except for legal or regulatory requirements, for the content or consequences (including the posting or distribution) of any comments, ratings, or reviews.

Asila Academy is not responsible for any user participation on the platform or its services, including textual comments, media uploads, external links, or communication between users by any means. You acknowledge that you may be legally liable if these submissions violate public morals and ethics.

Asila Academy will not be responsible for any damages resulting from the use (or inability to use) the website or platform, including damages caused by harmful software or viruses, nor does it accept responsibility for inaccurate or incomplete information on the website or platform.

Asila Academy is not responsible for any damages resulting from the use (or inability to use) electronic communication methods with the website or platform.

Asila Academy strives to provide the platform's electronic services year-round, 24 hours a day, 7 days a week. However, it does not guarantee that Asila Academy's platform will be fully operational throughout the year, and there will be downtimes for maintenance, periodic updates, or the addition of new features. It does not take responsibility for the unavailability of services at any time, for any duration, or for any reason.

The responsibility for the quality of services requested using the platform or service lies entirely with the service provider who ultimately delivers the service to the customer. Asila Academy does not accept any responsibility for the services provided by the service provider or any actions, conduct, or neglect of the provider. Therefore, any complaints regarding the services should be directed to the service provider.

Limitation of Liability:

Asila Academy makes no explicit or implied guarantees regarding the services. All services are provided "as is." Asila Academy explicitly disclaims, to the fullest extent permitted by law, all warranties, including but not limited to warranties of fitness for a particular purpose, suitability for certain specifications or markets, and merchantability. Asila Academy does not guarantee the accuracy, content, or timing of the services or the results users may or may not receive from them. Neither Asila Academy, its agents, licensors, nor its affiliates will be liable under any circumstances for direct or indirect damages, penalties, special damages, incidental or consequential damages (including, but not limited to, loss of profits, business disruption, loss of business information, or other financial losses) resulting directly or indirectly from access to or use of the services (or failure to use them) or reliance on them.

Asila Academy reserves the right to display and record all communications and online sessions on the platform without permission or notice, as it monitors usage to understand user requirements and improve services.

All communications and educational sessions recorded are subject to review and may result in legal action if public morality is violated, content is misused, or terms and conditions are breached.

Asila Academy is not liable for any kind of damage or loss (including direct, indirect, or consequential, punitive, or special damages) or claims, requests, or expenses (including legal fees) related directly or indirectly to the service provider agreement, including:

• Any damages or risks associated with executing the service provider agreement.

• Any action or inaction by the customer (including payment).

• Content and consequences (posting or distributing) of any comments, ratings, or reviews regarding the service provider.

• Termination of the service provider agreement for any reason.

Asila Academy is not responsible for the fulfillment of any promotional offers or competitions not announced on Asila Academy's platform or its social media accounts.

Security:

You acknowledge that you are solely responsible for the security of the services and for any usage of your account and/or username, password, or access credentials by others. You agree to notify Asila Academy if you become aware of any loss, theft, or unauthorized use of any password, username, IP address, or other access methods to the services.

Third-Party Interactions:

While using the website, platform, and service, you may encounter links to websites owned and controlled by third parties for the purpose of messaging or purchasing products or services from them or participating in promotional offers they provide. These links take you outside of the website, platform, and service, and are outside of Asila Academy's control.

While using the website, platform, and service, you may interact with or purchase goods or services or participate in promotions provided by third-party service providers, advertisers, or sponsors offering their goods or services through links on the website or platform. These links take you outside the website, platform, and service, and are beyond Asila Academy's control. Modification of Services:

Asila Academy reserves the right, at its sole discretion, to do the following at any time:

• Modify or change the platform or services or any related materials or suspend or stop them (including but not limited to providing any feature, database, or content) without prior notice.

• If Asila Academy decides to stop offering its services, it may replace them with similar materials at its discretion.

• Asila Academy may limit features and services or restrict your access to parts of the service or the entire service without notice or liability.

Relationship Between Asila Academy and the User:

The relationship between Asila Academy and the user is indefinite. The user has the right to disable their use of the platform and service at any time by closing their user account.

Asila Academy has the right to terminate the user's relationship with immediate effect at any time (by disabling their use of the platform and service) if the user does any of the following:
